1. General

These Terms & Conditions ("Terms") apply to all orders and sales of goods by WillowBrooks (“we”, “us”, “our”) to wholesale customers (“you”, “your”). By placing an order you accept these Terms.
Orders must be placed via our website, on trade fairs or through authorised sales channels. Orders are subject to acceptance and availability. We may refuse or cancel any order at our discretion.
An order is only accepted and binding when we issue an order confirmation by email.

Prices are quoted in Euros (€) or Sterling (£) as specified and exclude applicable taxes, duties, VAT, import/export fees and other charges unless explicitly stated.
We reserve the right to change prices at any time, but the price applicable is that confirmed in your order acceptance.
You are responsible for any customs duties, import taxes and other charges on international shipments.

Order confirmation requires a 20% deposit of the total order value, payable within 14 days of the order confirmation. The deposit is non-refundable once production or order processing has commenced.
A final invoice will be issued at the beginning of August and is due by 15 August. If the final invoice timing needs to be varied for specific orders, we will confirm this in writing.
Payment methods accepted: bank transfer and other authorized online payment options. Bank transfer details will be provided on invoices.
If full payment of the final invoice is not received by 15 August, WillowBrooks is not obliged to reserve stock for your order. We reserve the right to reallocate the stock to other customers without further liability.

Minimum order value: £300
Minimum order quantity per line item: the item’s inner carton quantity (i.e., you must order at least the number in one inner carton).
Responsibility for goods passes to you upon receipt from the delivery carrier.

Changes: Any requested change to an accepted order must be agreed in writing and may be subject to price and lead-time adjustments.
Cancellation: Orders may only be cancelled if we receive written notice before the order is processed for shipment. Deposits are non-refundable if cancellation occurs after production or processing has commenced.
Returns: Returns only with prior authorization. Returns must be within 14 days of receipt, in original, unused condition, saleable, and in original packaging. Return shipping costs are your responsibility unless the return is due to our error.

Delivery dates are estimates. We are not liable for delays caused by suppliers, carriers, customs clearance, strikes, pandemics, weather or other events beyond our control.
Delivery is to the agreed delivery address.
Risk of loss or damage passes to you when goods are handed to the carrier at our premises.
Damage or shortages in transit must be noted on the carrier’s paperwork at time of delivery, and you must also notify us immediately.

Inspection & complaints: You must inspect goods on delivery. All complaints (including shortages, visible damage or discrepancies) must be submitted by email to info@willowbrooks.co.uk within 7 working days of delivery. Provide photographic evidence and any requested information. Failure to notify within this timeframe will be deemed acceptance of the goods.
Concealed defects: Notify us promptly upon discovery.

All intellectual property rights in samples, specifications, product designs, packaging, marketing materials and documentation remain our property or the property of our licensors.
You are granted only a limited right to use such materials for the purpose of reselling the goods.

We are not liable for failure or delay in performing obligations caused by events beyond our reasonable control (force majeure).
Performance will be suspended for the duration of the event, or we may cancel orders without liability.

Our total liability for any claims arising under or in connection with a supply of products is limited to the price paid for the particular goods giving rise to the claim.
We shall not be liable for any indirect, consequential, special or punitive damages, loss of profit, loss of business, goodwill or anticipated savings.

You are responsible for complying with all export, import and trade regulations applicable to the goods and their destination.
We will not supply goods where export would breach sanctions or export control laws.

These Terms, together with the order confirmation and any referenced documents, constitute the entire agreement between the parties.
If any provision is held unenforceable it will be severed and the remaining provisions continue in force.

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

These Terms & Conditions are effective from 01.01.2026 and apply to all orders placed on or after that date. Previous versions of our Terms are superseded.
